Abstract: | Dünya çapında meydana gelen küreselleşme ve teknolojinin gelişimi ile birlikte buna
paralel olarak işletmeler arasındaki rekabet düzeyi de artmıştır. Yaşanan rekabette, hayatta
kalmaya çalışan bazı işletmeler veya işletme çalışanlarının çeşitli yollarla özellikle
muhasebe ve denetim alanlarında yolsuzluğa başvurduğu görülmektedir. İşletmelerde vuku
bulan bu tür yolsuzlukların amacı piyasaya iyi bir görünüm vererek yatırımcıyı kendine
çekmektir. Bu sebeple işletmelerin kamuoyuna beyan ettikleri finansal raporlarında yer alan
bilgilerin doğru, güvenilir ve aynı zamanda maskelenmemiş olması paydaşlar açısından
büyük önem taşımaktadır. Söz konusu durumda denetim firmaları ve bağımsız denetçilere
büyük iş düşmektedir.
Amerika’da meydana gelen ve Enron, WorldCom ve Adelphia gibi büyük şirketlerin
gerçekleştirdiği yolsuzluklar tüm dünyada ses getirmiş ve söz konusu şirketlerin iflasına
neden olmuştur. Yaşanan durum şirketlerin sonunu getirmekle beraber şirket paydaşlarını da
oldukça kötü etkilemiştir. Yapılan araştırmalar neticesinde gerçekleştirilen hile unsurlarının,
özellikle muhasebe ve denetim alanlarının bireysel çıkarlar göz önünde tutularak, şirket
yararına kullanılması şeklinde uzun süre devam ettirilip kamuoyundan gizlenebildiği
görülmüştür. Amerika, yaşanan iflas olaylarından sonra özellikle denetim alanında
yoğunlaşarak temelde işletme çalışanları ve üst düzey yöneticilerin hile yoluna
başvurmalarını engelleyebilmek için caydırıcı cezai yaptırımlar içeren ve işletme
paydaşlarının korunabilmesini amaçlayarak 2002 yılında Sarbanes-Oxley Yasası’nı
yürürlüğe koymuştur. Meydana gelen bu gelişmeye Türkiye’de sessiz kalmamış ve
ülkemizde vuku bulabilecek benzer yolsuzluk durumlarının önüne geçebilmek adına SOX
Yasası’na paralel ilerleyen SPK Seri X, No:19 ve No:22 Sayılı tebliğleri yayımlamıştır.

Hazırlanan bu tezin amacı Enron Skandalı kapsamında vuku bulan muhasebe ve
denetim manipülasyonlarının işletme ve paydaşlar üzerinde yarattığı sorunları ortaya
çıkartarak bu bağlamda yürürlüğe giren Sarbanes – Oxley, diğer bir adıyla “Yatırımcıyı
Koruma” Yasası’nı tüm yönleri ile ele alarak açıklamak ve söz konusu yasanın Türkiye
üzerinde yarattığı etkileri ortaya koymaktır. Bu amaçla dört farklı bağımsız denetim firması
ile denetim alanı ve SOX yasası üzerine bir görüşme gerçekleştirilmiştir. Yapılan
görüşmeler içinde bulunduğumuz dönemde yaşanan Covid-19 salgını sebebi ile alınan
önlemler kapsamında elektronik ortamda gerçekleştirilmiştir. With the development of technology and occuring the globalization around the world, the level of competition between businesses has increased in parallel. It is seen that some businesses or business employees who are trying to survive in the is lived competition resort to corruption in various ways, especially in the fields of accounting and auditing. The purpose of such corruption occuring in businesses is to attract investors by giving the market a good look. For this reason, it is of great importance for stakeholders that the information in the financial reports declared to the public by the enterprises is accurate, reliable and at the same time unmasked. In this case, a great deal of work falls on audit firms and independent auditors. Corruptions that occurred in the USA and carried out by big companies such as Enron, WorldCom and Adelphia have made a sound all over the world and caused the bankruptcy of these companies. With the situation brought the end of the companies, it also affected the stakeholders of the company very badly. As a result of the researches, it has been observed that the fraud elements carried out can be continued and hidden from the public for a long time, especially by using the accounting and audit areas for the benefit of the company, taking into account individual interests. After the bankruptcy incidents, the United States has put into force the Sarbanes-Oxley Act in 2002, with the aim of protecting the business stakeholders and containing deterrent penal sanctions in order to prevent the business employees and senior managers from resorting to fraud, mainly by focusing on the field of supervision. Turkey did not remain silent to this development. In order to prevent similar corruption situations that may occur in our country, the CMB, which proceeds in parallel to the SOX Law, has published communiques Serial X, No: 19 and No: 22. viii The aim of this thesis is to reveal the problems caused by the accounting and auditing manipulations within the scope of the Enron Scandal on the business and its stakeholders, to explain by considering all aspects of Sarbanes - Oxley, also known as "Investor Protection" Law, which entered into force in this context, to reveal the effects of the law in question on Turkey. For this purpose, s interviews was conducted with four different independent audit firms on the audit area and SOX law. The interviews was carried out electronically within the scope of the measures taken due to the Covid-19 outbreak in the period we were in. |
